Welcome to FriendlyHelp’s website (the “FriendlyHelp Site”) and/or Service (defined below), owned and operated by Friendly Help PTE. LTD. (“FriendlyHelp,” “we,” or “us”). FriendlyHelp provides remote tech support designed to help users navigate technology with ease. Our mission is to improve lives by making technology accessible, safe, and supportive for all. We offer peace of mind to individuals and caregivers, knowing that their loved ones can use technology to stay connected and secure.

These Terms of Use (“Terms”) govern your (i) use of the FriendlyHelp Site; (ii) use of FriendlyHelp’s phone, remote, or online services; (iii) purchase of services, including tech support sessions, membership packages, technology setup, and online support visits (collectively, the “Offerings”); and (iv) use of any software provided in connection with (i) – (iii) (together, the “Service”). If there is any inconsistency between an Order and these Terms, the Order will control with respect to pricing and description of the Service.

We provide services to: (1) users who purchase Offerings directly (“Subscriber”), (2) individuals or entities who purchase Offerings on behalf of Subscribers (“Purchaser”), and (3) those residing at the Subscriber’s primary residence or receiving services at the Subscriber’s Service Address.

By placing an Order, accessing, or using the Service, or agreeing to these Terms, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all visitors, users, and others who access the FriendlyHelp Site or Service, including Purchasers, Subscribers, and Authorized Viewers, as defined below (collectively, the “Users”). If you are a Purchaser purchasing the Service on behalf of a Subscriber, you must review and agree to these Terms before placing an Order or accessing the Service. You agree that all Users must comply with these Terms. An “Order” means FriendlyHelp’s approved ordering document or process describing the Service you are ordering.

Certain services may be subject to additional terms specified by us from time to time, which are incorporated into these Terms by reference.

Please read this agreement carefully to ensure that you understand each provision. These Terms contain a mandatory individual arbitration and class action/jury trial waiver provision, requiring arbitration on an individual basis to resolve disputes, rather than jury trials or class actions.

  1. Use of the Service

A. Eligibility

This is a contract between you and FriendlyHelp. You must read and agree to these Terms before using the Service. You may use the Service only if you can form a binding contract with FriendlyHelp, and only in compliance with these Terms and all applicable laws and regulations. Any use by anyone under 13 is prohibited.

B. Purchaser Representation

If you are a Purchaser, you represent and warrant that you have the authority to enter these Terms on behalf of the User and are at least 18 years of age.

C. Membership and Offerings

Subject to these Terms, we provide standard-level phone or online technical support, training, and services. All Offerings are subject to FriendlyHelp’s sole discretion and may be modified or suspended as needed.

D. Service

Subject to the terms and conditions of these Terms, you are granted a non-exclusive, limited, non-transferable license to use the Service for your personal, noncommercial use. FriendlyHelp reserves all rights not expressly granted. We may terminate this license at any time for any reason or no reason.

E. FriendlyHelp Accounts

Your FriendlyHelp account provides access to services and functionality established by us. We may maintain different types of accounts for different Users. You may have the option to designate Authorized Viewers to view information and reports regarding your use of the Service. You are solely responsible for any activity that occurs on your FriendlyHelp account.

When creating an account, you must provide accurate information and keep this information up to date. You must secure your account password and notify FriendlyHelp immediately of any breach of security or unauthorized use of your account.

By providing FriendlyHelp with your email address, you consent to our use of the email address for Service-related notices, as well as other messages such as updates or special offers. If you do not wish to receive these messages, you may opt out by contacting support@friendlyhelp.com.

F. Service Rules

You agree not to engage in prohibited activities, including: (i) copying, distributing, or disclosing any part of the Service; (ii) using automated systems (e.g., “robots,” “spiders”) to access the Service; (iii) transmitting spam or other unsolicited communications; (iv) attempting to interfere with system security; (v) taking actions that impose an excessive load on our infrastructure; (vi) uploading harmful software; (vii) collecting personal information from the Service; (viii) using the Service for commercial solicitation; (ix) impersonating others; (x) interfering with the Service's operation; (xi) accessing content without authorization; and (xii) bypassing security measures.

You may only use audiovisual content provided on the Service for real-time streaming; any other use is expressly prohibited unless otherwise allowed by the Service's functionality.

FriendlyHelp may change or stop providing the Service or features at any time. We may terminate or suspend your access without notice for any reason, including if you violate these Terms. Upon termination, you remain bound by these Terms.

G. Enrollment in SMS or Text Messaging Services

We may offer the option to receive SMS/text messages from FriendlyHelp for account news, alerts, or Service offers. By enrolling, you agree to receive messages from FriendlyHelp to the number you provide. You may unsubscribe by contacting support@friendlyhelp.com, and you may incur standard messaging fees from your carrier.

2. User Content

We do not claim ownership of user-generated content. Any content you submit or post, such as photos, feedback, suggestions, or other materials, will be deemed non confidential. By posting content, you grant FriendlyHelp a license to use it in any medium or format. You are responsible for the content you post, and you agree to indemnify FriendlyHelp for any damages arising from your content.

3. Our Proprietary Rights

Except for your User Content, the FriendlyHelp Site, Service, and all materials, including text, graphics, logos, software, and other intellectual property, are the exclusive property of FriendlyHelp and its licensors. Any use of FriendlyHelp Content without permission is prohibited.

4. Order and Payment Terms

A. Orders

After placing an Order, we may verify your payment information. You agree to pay all charges incurred by users of your payment method. FriendlyHelp reserves the right to refuse any Order and will notify you if your Order is canceled.

B. Payment Methods

We accept various payment methods for Orders, including credit cards. All transactions are subject to validation by FriendlyHelp’s payment processing provider.

C. Automatic Renewal of Membership Fees

If you sign up for a Membership, annual fees will automatically renew unless you cancel by notifying us in writing at least 30 business days before the next renewal.

5. Privacy and Information Security

FriendlyHelp values your privacy and information security. By using the Service, you consent to the collection and use of your personal information as outlined in our Privacy Policy.

6. Third-Party Links and Information

The FriendlyHelp Site may contain links to third-party sites or services. FriendlyHelp is not responsible for any third-party content and does not endorse or assume responsibility for them.

7. Access to Your Premises; Equipment; and Remote Access

A. Premises

If in-person services are included, you agree to allow FriendlyHelp access to the premises as needed for Service. You must ensure the premises are safe and suitable for our agents.

B. Equipment

By allowing us access to your devices, you agree that FriendlyHelp can inspect, update, or configure the equipment necessary for Service. You must be the owner of the equipment or have permission from the owner.

C. Remote Access

For remote support, you must provide a high-speed internet connection and may need to share screen control with us. You will provide information regarding the equipment and issues being experienced.

8. Term and Termination

You may terminate your Membership within 14 days of purchase for a full refund. FriendlyHelp reserves the right to terminate the Service for any breach of these Terms.

9. Release and Indemnity

You agree to release and indemnify FriendlyHelp from any damages arising from disputes with third parties related to the Service.

10. No Warranty and Limitation of Liability

The Service is provided "as is" without warranties. FriendlyHelp is not liable for any indirect, punitive, incidental, or consequential damages.

11. Governing Law, Arbitration, and Class Action Waiver

Disputes will be resolved through binding arbitration in the province or state of the Subscriber, waiving class action rights.

12. General Terms

These Terms represent the entire agreement between you and FriendlyHelp. If any provision is deemed invalid, the remaining provisions will continue in full force.

13. Entire Agreement and Severability

These Terms, along with any additional agreements you may enter into with FriendlyHelp regarding the Service, represent the complete and exclusive agreement between you and FriendlyHelp concerning your use of the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of that provision will not affect the enforceability of the remaining provisions, which will remain in full force and effect.

14. No Waiver

No waiver of any provision of these Terms will be effective unless in writing and signed by FriendlyHelp. Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.

15. Changes to Terms

FriendlyHelp reserves the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on the FriendlyHelp Site or by other communication methods. Any modifications will take effect immediately upon posting, and your continued use of the Service after any changes signifies your acceptance of the updated Terms. We encourage you to review these Terms periodically.

16. Disclaimer of Professional Advice

FriendlyHelp provides tech support but does not offer professional legal, financial, medical, or other specialized advice. Information on the FriendlyHelp Site or communicated by FriendlyHelp agents is for informational purposes only and should not be taken as professional advice. You should consult a qualified professional for advice in these areas.

17. Feedback and Suggestions

FriendlyHelp welcomes feedback to improve the Service. By submitting feedback or suggestions, you agree that FriendlyHelp can use your ideas without any obligation to compensate you, and FriendlyHelp is not required to treat these submissions as confidential.

18. Third-Party Services

The FriendlyHelp Site may include links to third-party websites or services, which are not under FriendlyHelp's control. FriendlyHelp is not responsible for the content, privacy practices, or any other aspect of third-party sites. Your dealings with or participation in promotions of third parties found on or through the Service are solely between you and the third party.

19. Additional Terms for Use of Remote Access

FriendlyHelp may, with your consent, use remote access software to assist you in resolving your tech issues. By agreeing to remote access, you grant FriendlyHelp permission to access your device for the limited purpose of performing the Service. You acknowledge that you are solely responsible for all actions taken during the remote session and for any content displayed on your device during the session.

20. Video and Audio Recordings

As part of the Service, FriendlyHelp may record audio and/or video of Service sessions for quality and training purposes. By agreeing to these Terms, you consent to the recording of your sessions, including your image and voice, as needed to deliver the Service. You waive any rights to inspect or approve these recordings or to receive any compensation for their use.

21. Governing Law

These Terms will be governed by and construed in accordance with the laws of the province or state where the Subscriber resides, without regard to its conflict of law principles. Any disputes arising from or related to these Terms will be resolved exclusively within the province or state of the Subscriber’s primary residence, as specified under the Arbitration provision.

22. Arbitration Agreement

By using FriendlyHelp’s Service, you agree to resolve any disputes through binding arbitration, except in cases where a claim may be eligible for small claims court. Arbitration will be conducted in the Subscriber’s province or state and will be governed by the applicable arbitration rules. By agreeing to arbitration, you waive your right to a jury trial and to participate in class actions or class-wide arbitration.

23. Limitation on Claims

Any cause of action arising out of or related to the Service or these Terms must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Acceptance of Terms

By accessing or using the FriendlyHelp Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree with any of these Terms, please discontinue using the Service immediately.
